Terms of Service

1. Acceptance of Terms

By accessing or using PermaShip.ai ("PermaShip," "the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Description of Service

PermaShip provides an AI-powered always-on execution platform that converts requests into verified, governed outcomes through automated workflows. The Service includes the Engine, Runners, Control, and App Builder components.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately at security@permaship.ai if you suspect unauthorized access.

4. Acceptable Use

You agree not to use the Service to:

• Generate malicious code, malware, or exploits
• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Attempt to circumvent security controls, resource limits, or isolation boundaries
• Interfere with or disrupt the Service or other users' access
• Reverse-engineer or extract the underlying models or algorithms

5. Your Code and Data

You retain all ownership rights to your source code and data. By connecting your repositories, you grant PermaShip a limited license to access and process your code solely to provide the Service. We do not use your code to train models or for any purpose beyond executing the jobs you configure.

6. Generated Output

Code and pull requests generated by PermaShip on your behalf are owned by you. You are responsible for reviewing all generated code before merging it into your repositories. PermaShip does not guarantee that generated code is free of defects or vulnerabilities.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. Current system status is available at permaship.ai/status.

8. Resource Limits

Your usage is subject to the resource limits of your plan, including compute time, concurrent jobs, token budgets, and storage. Exceeding these limits may result in throttling or suspension of jobs. Enterprise plans include configurable limits.

9. Payment and Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice.

10. Limitation of Liability

To the maximum extent permitted by law, PermaShip shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless PermaShip from any claims arising from your use of the Service, your violation of these terms, or your violation of any third-party rights.

12. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your access immediately if you violate these terms. Upon termination, your right to use the Service ceases. We will make your data available for export for 30 days after termination.

13. Changes to Terms

We may modify these terms at any time. Material changes will be communicated via email or in-product notice at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.

14. Governing Law

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law provisions.
